Commercialisation and licensing requires an understanding of IP registration, statutory frameworks and relevant contractual principles.

Our Services

Our practitioners are highly experienced in all aspects of commercialisation including IP protection, competition advice, contract negotiation and general strategising.

Our team can assist with:

Contract drafting and negotiation

We draft and negotiate the complete range of commercialisation agreements including research agreements, material transfer agreements, consultancy agreements and clinical trial agreements.

IP due diligence and audits

We advise on and conduct IP due diligence and audits to ensure our clients understand the full value, potential and risks associated with corporate intellectual property.

Competition issues

We advise on anti-trust issues, competition law, and business and personal restraints, all of which are fundamental to IP commercialisation.

IP policies

We draft IP policies to ensure that everyone associated with a business is aware of their rights and responsibilities in relation to newly created IP.

Confidentiality and NDAs

We draft confidentiality and non-disclosure agreements which are tailored to each individual situation, so as to ensure that our clients’ interests are fully protected.

Evaluating and packaging technology rights

We evaluate and package technology rights (including patents, designs, copyright and trade marks), and negotiate and prepare licences for the assignment of such rights where appropriate.

IP strategy and portfolio management

We advise on IP strategies, including for branding and trade mark protection.

“Australianisation” of international contracts

We advise on the extent to which internationally-drafted contracts conform to Australian legal and regulatory requirements for local distribution purposes.

Protection of rights

We advise on all aspects of IP protection and enforcement, ranging from registration of interests to dispute resolution (either in the form of alternative dispute resolution or litigation).
